2010 Standard contractual clauses for the transfer of personal data from the Community to third countries (controller to processor transfers)
For the purposes of Article 26(2) of Directive 95/46/EC for the transfer of personal data to processors established in third countries which do not ensure an adequate level of data protection, AddEvent a Georgia limited liability company whose legal name is AddEvent, Inc (hereinafter the "data importer") and Customer (hereinafter the "data exporter") each a “party”; together “the parties”, HAVE AGREED on the following Contractual Clauses (the Clauses) in order to adduce adequate safeguards with respect to the protection of privacy and fundamental rights and freedoms of individuals for the transfer by the data exporter to the data importer of the personal data specified in Annex 1.
For the purposes of the Clauses:
The details of the transfer and in particular the special categories of personal data where applicable are specified in Appendix 1 which forms an integral part of the Clauses.

The Clauses shall be governed by the law of the Member State in which the data exporter is established.
The parties undertake not to vary or modify the Clauses. This does not preclude the parties from adding clauses on business related issues where required as long as they do not contradict the Clause.
Details of the transfer
(a) Data exporter:
Name: Customer, being a AddEvent Member that has engaged AddEvent to provide the Service pursuant to the standard Terms of Use or other written or electronic agreement, which govern the provision of the Service to Member, as such terms or agreement may be updated from time to time (the “Agreement”).

Activities relevant to the data transferred under these Clauses: AddEvent provides the Service and Customer uses the Service, and AddEvent processes personal data as described in the Agreement.

Activities relevant to the data transferred under these Clauses: AddEvent provides the Service and Customer uses the Service, and AddEvent processes personal data as described in the Agreement.
(c) Categories of data subjects:
The categories of data subjects whose personal is processed include (i) Members (i.e., individual end users with access to a AddEvent account) and (ii) Contacts (i.e., Member's subscribers and other individuals about whom a Member has given us information or has otherwise interacted with a Member via the Service).
(d) Categories of personal data:
Customer may upload, submit or otherwise provide certain personal data to the Service, the extent of which is typically determined and controlled by Customer in its sole discretion, and may include the following types of personal data:

AddEvent does not want to, nor does it intentionally, collect or process any special categories of data in connection with the provision of the Service.
(f) Processing operations:
AddEvent provides an email service, automation and marketing platform and other related services, as more particularly described in the Agreement. The subject matter of the data processing is the Customer Data (as defined in the AddEvent Data Processing Addendum). Customer Data will be processed in accordance with the Agreement and may be subject to the following processing activities:
